1Acceptance of These Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Lusenii Kromah, a North Carolina sole proprietor doing business as GRPPD (“GRPPD,” “we,” “us,” or “our”). They govern your access to and use of the GRPPD mobile application and any related services (together, the “Service”).

You must accept these Terms before you can post a round, request to join a round, send a message, or otherwise participate on GRPPD. If you do not agree, do not use the Service.

Our Privacy Policy and Community Guidelines are incorporated into these Terms by reference and form part of your agreement with us.

2Eligibility and Age

You must be at least 18 years old to use GRPPD.

The Service is not directed to and may not be used by anyone under 18. By using the Service you represent that you are 18 or older, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Service under applicable law.

You may not use GRPPD if you have previously been removed from the Service, or if you are a registered sex offender or have been convicted of a felony or an offense involving violence, abuse, or fraud.

3Your Account

You register using your mobile phone number and a one-time verification code. You are responsible for keeping access to that phone number and for all activity under your account.

• One account per person. You may not maintain more than one account, share your account, or create an account for anyone else.
• Accurate information. Your profile must reflect you. Impersonating another person or misrepresenting your identity, handicap, or affiliation violates these Terms.
• Deletion. You may delete your account at any time from within the app. Some information is retained where we have a legal obligation or lawful basis, as described in the Privacy Policy.
• Suspension and termination. We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or the Community Guidelines, or to protect other members.

4No Identity Verification

GRPPD does not verify the identity of its members.

We do not require or perform government-ID checks, biometric or photo verification, or background or criminal-history screening, and we do not confirm that any member is who they claim to be. You do not need to complete any identity verification to message another member or otherwise use the Service.

Because we do not verify identity, you are solely responsible for exercising your own judgment about who you interact with, communicate with, and meet. Nothing on the Service is a representation about any member’s identity, character, conduct, or safety. Attempting to circumvent a removal by creating a new account still violates these Terms.

5Community Standards and Zero Tolerance

GRPPD has no tolerance for objectionable content or abusive users.

Every member agrees to the Community Guidelines before they can post, join a round, or message anyone. Break them and your content comes down and your account can be removed. The Guidelines prohibit, among other things:

• Misleading round listings — inaccurate course, tee time, or number of open spots
• Spam, duplicate listings, and excessive bumping
• Discriminatory grouping based on personal characteristics
• Unauthorized transactions — soliciting payments, trading favors, or off-platform booking schemes
• Harassment or abuse — abusive, threatening, or sexually explicit content

6Reporting, Blocking, and Enforcement

You can report any listing, message, photo, or profile from within the app, and block any member at any time from their profile or a chat. Reports are confidential.

We review every report and act on objectionable content within 24 hours by removing the content and the member who posted it.

We may also remove listings, cancel rounds, limit an account’s ability to post or send join requests, suspend an account pending review, or permanently remove a member. We reserve the right, but not the obligation, to monitor, review, or remove any content for any reason.

7Your Content

“Your Content” means anything you post or transmit through the Service, including your profile, photographs, videos, biography, round listings, feed posts, scores, and messages.

You retain all rights you already have in Your Content; these Terms do not transfer ownership to us. You grant GRPPD a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting and display), publish, and display Your Content solely to operate, provide, and improve the Service. This license ends when you delete Your Content or your account, except for content others have shared, content we must retain for legal reasons, and residual backup copies.

You represent that you own or have the necessary rights to Your Content and that it does not infringe anyone’s rights or violate these Terms, the Community Guidelines, or any law. We may remove or refuse to display Your Content at any time if we believe it violates these Terms or creates risk.

8Rounds and Meeting in Person

GRPPD is an introduction platform only.

We help members find each other. We do not organize, host, supervise, attend, or control any round, meetup, or interaction between members, whether on a golf course, at a venue, or anywhere else. We do not verify members’ identities and do not conduct background checks or criminal screening. We make no representation that any member is who they claim to be, or that they are safe, honest, competent, or suitable to spend time with.

You understand that meeting other members in person carries inherent risk, including personal injury, property damage, illness, emotional distress, harassment, theft, and death. You voluntarily assume all such risk and are solely responsible for your own safety.

To the fullest extent permitted by law, you release GRPPD and its officers, directors, employees, contractors, and agents from any and all claims arising out of or connected with your interactions with other members, whether on the Service, at a venue, or anywhere else. If you are a California resident, you waive California Civil Code section 1542.

Basic precautions: meet at the course, tell someone where you’re going and who you’re meeting, arrange your own transportation, don’t share financial information, and report anything that concerns you.

9Tee Times and Third-Party Booking

GRPPD may link out to third-party booking systems, including TeeItUp and course operators’ own systems. We do not make, hold, confirm, modify, or cancel reservations, and we do not process payments or issue refunds for them.

Any reservation is a transaction between you and the course or booking provider, governed by their terms and cancellation/refund policies. We do not guarantee that a tee time shown in the app is available, accurately priced, or valid.

10Events and Organizer Listings

Members, venues, and organizers may post events, and we may link out to third-party ticketing or RSVP platforms. We are not the organizer of these events unless we expressly say so, and we are not responsible for what happens at an event, for refunds, or for an organizer’s conduct.

If you organize an event through GRPPD, you are responsible for it — including permits, licenses, insurance, venue agreements, and applicable law — and you agree to indemnify us as described below.

11Referral and Reward Programs

We may offer referral programs, promotions, and rewards, including partner rewards. Each program is subject to its own published rules while running.

• Rewards have no cash value, cannot be sold, transferred, or exchanged, and are void where prohibited.
• A referral qualifies only if the referred person meets the published criteria, which we determine in our reasonable discretion.
• We may change, suspend, or end any program at any time and may revoke a reward obtained through fraud, self-referral, duplicate accounts, or abuse.
• Partner-fulfilled rewards are subject to that partner’s terms and availability.

12Payments and Subscriptions

GRPPD is currently free to use. If we introduce paid features, subscriptions, or in-app purchases, purchases made through the app will be processed by Apple and governed by Apple’s terms and your Apple Account settings. Subscriptions renew automatically until cancelled; manage or cancel them in your Apple Account settings. Refunds are handled by Apple. Fees paid to third parties, including courses, venues, and organizers, are governed by their terms.

13Prohibited Conduct

In addition to the Community Guidelines, you agree not to:

• Impersonate any person or entity, or misrepresent your identity or affiliation
• Harass, threaten, stalk, defame, or intimidate any member
• Solicit money, payments, or favors, or run off-platform booking or payment schemes
• Use the Service for commercial solicitation, advertising, or recruitment without our written permission
• Scrape, crawl, harvest, or use automated means to access or collect data
• Reverse engineer, decompile, or derive the source code of the Service
• Interfere with, disrupt, or gain unauthorized access to the Service or its systems
• Use another member’s account, or create an account after being removed
• Share another member’s personal information, photos, or messages outside the Service without consent
• Use the Service for any unlawful purpose

14Notifications and Communications

By creating an account you consent to receive communications from us, including SMS for phone verification and account security, and push notifications about join requests, round updates, and messages. Message and data rates may apply. You can manage push notifications in your device settings; some transactional messages, including verification codes, are necessary to use the Service. Marketing communications are sent only as described in the Privacy Policy, and you can opt out at any time.

15Location and Contacts

With your permission, GRPPD uses your device location to show nearby rounds and courses, and may access your contacts to help you find people you already know. You control both permissions in your device settings and may revoke them at any time, as described in the Privacy Policy.

16Third-Party Services and Links

The Service links to and integrates with third-party websites, apps, and services we don’t control. We are not responsible for their content, practices, availability, or terms. Your use of a third-party service is between you and that provider.

17Our Intellectual Property

The Service — including the GRPPD name, logo, wordmark, design, software, and all associated content other than Your Content — is owned by us and protected by intellectual property law. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service.

18Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranty of any kind.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that any content is accurate, or that any member is who they claim to be, is safe, or is suitable to meet.

19Limitation of Liability

To the fullest extent permitted by law, GRPPD and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or for personal injury, emotional distress, or death, arising out of or relating to your use of the Service or your interactions with other members.

Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim arose, or one hundred dollars ($100). Some jurisdictions do not allow certain limitations, so some may not apply to you.

20Indemnification

You agree to indemnify, defend, and hold harmless GRPPD and its officers, directors, employees, contractors, and agents from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising out of Your Content, your use of the Service, your interactions with other members, any event you organize, or your violation of these Terms or any law or third-party right.

21Termination

You may stop using GRPPD and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive — including the content license, assumption of risk and release, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — survive.

22Governing Law and Venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Subject to the dispute resolution section below, you and GRPPD agree to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina.

23Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a nationally recognized arbitration provider under its consumer arbitration rules, rather than in court, except that either party may bring an individual claim in small claims court.

You and GRPPD each waive the right to a jury trial and the right to participate in a class action or class arbitration.

You may opt out of this arbitration agreement by sending written notice to us within 30 days of first accepting these Terms.

24Apple

If you download GRPPD from the Apple App Store, the following applies:

• These Terms are between you and GRPPD only, not Apple. Apple is not responsible for the Service or its content.
• Apple has no obligation to provide maintenance or support.
• If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; Apple has no other warranty obligation.
• Apple is not responsible for any claim relating to the Service, including product liability, legal/regulatory compliance, or consumer protection.
• Apple is not responsible for third-party intellectual property claims relating to the Service.
• You represent that you are not in an embargoed country or on any U.S. Government restricted-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

25Changes to These Terms

We may update these Terms from time to time. For material changes we will notify you in the app or by email before they take effect and update the date above. Continued use after changes take effect means you accept them; if you don’t, stop using the Service and delete your account.

26General

These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and GRPPD regarding the Service. If any provision is unenforceable, it will be limited or severed and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
